Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Sourcinq platform, including the website sourcinq.com and all related services (collectively, the "Service"), operated by LEX RESO LTD, a company registered in England and Wales (Company Number: 16682470), with its registered office at 128 City Road, London, United Kingdom, EC1V 2NX.

Please read these Terms carefully before creating an account or using the Service. By registering, accessing, or using Sourcinq, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

Note: A US-based entity is currently being established. These Terms will be updated to reflect the US legal entity upon its registration.

1. Definitions

• "Sourcinq," "we," "us," "our" — LEX RESO LTD and the Sourcinq platform.
• "User," "you," "your" — any individual or entity that accesses or uses the Service.
• "Service" — the Sourcinq platform, including the supplier search tool, user dashboard, and all related features.
• "Query" — a single search request submitted by a user consisting of an ASIN, UPC, brand name, or product name, processed by the Service.
• "Subscription" — a recurring monthly or annual paid plan granting a defined number of Queries per billing cycle.
• "Package" — a one-time purchase of a fixed number of Queries with no expiry date.
• "Trial" — a free access period granted upon registration, subject to the conditions set out in Section 5.
• "Results" — the structured supplier data and classification output returned by the Service in response to a Query.

2. About the Service

Sourcinq is an information service. It provides users with AI-assisted wholesale supplier research, structured Results, and supplier classification signals to support their independent sourcing decisions.

Sourcinq does not:

• participate in any transaction between the user and any supplier;
• act as an agent, broker, intermediary, or representative of any supplier or brand;
• guarantee the availability, accuracy, or authorization status of any supplier listed;
• provide legal, financial, or professional business advice.

All commercial decisions, negotiations, agreements, and due diligence are solely the responsibility of the user. Sourcinq's output is a research tool, not a definitive verification service.

3. Eligibility

To use the Service, you must:

• be at least 18 years of age;
• have the legal capacity to enter into a binding contract under the laws of your jurisdiction;
• use the Service for business purposes only — Sourcinq is not a consumer product and consumer protection regulations applicable to personal use are excluded to the fullest extent permitted by law;
• not be located in, incorporated in, or otherwise subject to the laws of any country or region subject to applicable sanctions, including but not limited to sanctions administered by OFAC (USA), the UK Office of Financial Sanctions Implementation (OFSI), or the European Union.

By registering, you represent and warrant that you meet all eligibility requirements above.

4. Account Registration

4.1 Account Creation

To access the Service beyond the guest demo, you must create an account by providing a valid email address and accurate billing information. You agree to provide truthful, current, and complete information at registration and to keep it updated.

4.2 One Account Per User

Each individual user may hold one account. Companies may register separate accounts for each employee or team member who requires access. Sharing account credentials with third parties is prohibited.

4.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. You must notify us immediately at [email protected] if you suspect any unauthorized access to your account.

4.4 Right to Refuse or Verify

Sourcinq reserves the right to verify the accuracy of registration information, reject any registration, or suspend any account at its discretion, including for suspected sanctions exposure, fraudulent information, or abuse of platform features.

5. Free Trial

5.1 Trial Conditions

Upon registration, each new user receives a free trial that includes:

• Duration: 7 calendar days from the date of registration;
• Query allowance: up to 5 Queries;
• No credit card required.

5.2 Trial Expiry

The trial expires when either condition is reached first — 7 days elapsed or 5 Queries used. Upon expiry, access to the search function is blocked. No automatic conversion to a paid plan occurs.

5.3 Continuing After Trial

To continue using the Service after the trial, you must purchase a Subscription or Package. Trial Queries do not carry over.

6. Subscriptions

6.1 Available Plans

6.2 Billing

Subscriptions are billed monthly or annually in advance. The billing cycle begins on the date of first payment. Annual plans are charged as a single payment.

6.3 Query Limit Reset

The monthly Query limit resets on the same date each month corresponding to your billing cycle start date. Unused Queries do not roll over to the following period and are forfeited.

6.4 Upgrades and Downgrades

• Upgrade: Takes effect immediately. You will be charged the prorated difference for the remainder of the current billing period.
• Downgrade: Takes effect from the start of the next billing cycle. You retain access to the current plan until the end of the current period.

6.5 Cancellation

You may cancel your Subscription at any time through your account dashboard or by contacting [email protected]. Cancellation stops future billing. Access continues until the end of the current paid billing period. No partial refunds are issued for unused time unless conditions in the Refund Policy are met.

7. One-Time Query Packages

7.1 Available Packages

7.2 Package Rules

• Packages have no expiry date — credits remain available until used.
• Package Queries are consumed only when a Query is successfully processed.
• If a Subscription is active, the monthly Subscription limit is consumed first. Package credits are used only after the Subscription limit for the current period is exhausted.
• Packages are non-transferable and tied to the purchasing account.

8. What Constitutes One Query

8.1 Definition

One (1) Query is consumed when:

• The user submits a search input (ASIN, UPC, brand name, or product name) via the search interface; and
• The system processes the request and generates a Results page.

8.2 Query Consumption Regardless of Result

A Query is deducted from the user's available balance regardless of the outcome, including when:

• Suppliers are found;
• No suppliers are found;
• The result is partial or pending manual review.

This policy exists because Sourcinq uses paid third-party tools and AI processing services to execute every Query. A processing cost is incurred regardless of the search outcome.

Sourcinq does not guarantee that any Query will return supplier results. We guarantee that every Query will be processed analytically.

8.3 Query NOT Consumed

A Query is not consumed in the following circumstances:

• A system error occurs before the Results page is generated;
• A payment failure prevents service activation.

8.4 Discretionary Exception

At Sourcinq's sole discretion, a Query may not be consumed if the submitted input cannot be associated with any identifiable brand or product — for example, a clearly fictitious brand name, a randomly generated string, or an input with no commercial reference. This exception is applied on a case-by-case basis and is not guaranteed.

9. Payments

9.1 Payment Processor

All payments are processed by Stripe, Inc. Sourcinq does not store, process, or have access to your full card details. By making a payment, you also agree to Stripe's Terms of Service.

9.2 Billing Data

Your billing address and country are collected for the purpose of sanctions compliance screening and applicable tax determination. This data is handled in accordance with our Privacy Policy.

9.3 Failed Payments

If a payment fails, your access may be suspended until the payment is successfully processed. Sourcinq will notify you of any payment failure. Query limits are not updated until payment is confirmed via Stripe's webhook.

9.4 Taxes

Prices listed are exclusive of any applicable taxes. You are responsible for any taxes, duties, or levies applicable in your jurisdiction.

10. Intellectual Property

10.1 Ownership

All content, design, algorithms, classification logic, data structures, and software on the Sourcinq platform are the exclusive intellectual property of LEX RESO LTD or its licensors, protected by applicable copyright, trademark, and intellectual property laws.

10.2 Permitted Use

Search Results are provided solely for your internal business use. You may not:

• resell, redistribute, republish, or sublicense Results to any third party;
• use Results to build, supplement, or populate a competing supplier directory or database;
• scrape, crawl, or use automated tools to extract data from the platform;
• reproduce platform content in any form without prior written consent from Sourcinq.

10.3 Feedback

If you submit feedback, suggestions, or ideas regarding the Service, you grant Sourcinq a perpetual, royalty-free right to use such feedback without any obligation or compensation.

11. Acceptable Use

Your use of the Service is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy may result in suspension or termination of your account.

12. Account Suspension and Termination

12.1 Grounds for Suspension or Termination

Sourcinq may suspend or permanently terminate your account, with or without prior notice, in the event of:

• violation of these Terms or the Acceptable Use Policy;
• fraudulent activity or misrepresentation;
• initiation of a chargeback or payment dispute without prior contact with Sourcinq;
• abuse of the Trial or guest demo features;
• provision of false registration or billing information;
• sanctions exposure identified during screening.

12.2 Effect of Termination

Upon termination:

• access to the Service is revoked immediately;
• any unused Query credits (Subscription or Package) are forfeited;
• refunds are not issued unless the conditions of the Refund Policy are independently satisfied.

12.3 User-Initiated Deletion

You may delete your account at any time through your account settings. Following deletion, your search history and Results are retained for 12 months and then permanently deleted, in accordance with our Privacy Policy.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranties, express or implied, including but not limited to:

• accuracy, completeness, or timeliness of supplier data or Results;
• fitness of any supplier for a particular purpose or Amazon compliance;
• uninterrupted or error-free platform operation.

Sourcinq does not warrant that search Results will meet your specific requirements or that any supplier identified through the Service is currently active, authorized, or willing to conduct business.

15. Limitation of Liability

15.1 Exclusion of Consequential Damages

To the fullest extent permitted by applicable law, Sourcinq shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profits, loss of revenue, loss of data, or business interruption, arising out of or related to your use of the Service.

15.2 Cap on Liability

Sourcinq's total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total amount paid by you to Sourcinq in the three (3) months immediately preceding the event giving rise to the claim.

15.3 Basis of the Bargain

The limitations of liability in this section reflect a reasonable allocation of risk between the parties and are a fundamental element of the basis of the agreement between you and Sourcinq. Sourcinq would not be able to provide the Service on the terms set out here without these limitations.

16. Indemnification

You agree to indemnify, defend, and hold harmless LEX RESO LTD, its directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• your use of the Service in violation of these Terms;
• your violation of any applicable law or third-party rights;
• any commercial decision or transaction made in reliance on Results provided by the Service.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

17.2 Jurisdiction

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. However, Sourcinq acknowledges that users located in other jurisdictions may have additional statutory rights under local law, which these Terms do not seek to override where prohibited.

17.3 Informal Resolution

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes informally by contacting [email protected]. We will endeavour to respond within 10 business days.

18. Changes to These Terms

Sourcinq reserves the right to modify these Terms at any time. When changes are made:

• we will update the "Last Updated" date at the top of this page;
• we will notify registered users by email and/or via an in-platform notice.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity or enforceability of the remaining provisions.

20. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, Acceptable Use Policy, and Disclaimer, constitute the entire agreement between you and Sourcinq regarding your use of the Service and supersede all prior agreements and understandings.
